Whereas Party A and Party B intend to cooperate on the XX, during which both parties will disclose business secrets and other sensitive information to each other. In order to protect the legitimate rights and interests of both parties and ensure the smooth progress of the cooperation, through friendly negotiation, the following confidentiality agreement is reached:
1. Definitions
1.1 "Confidential Information" refers to any information related to the cooperative project, which is disclosed by one party (the Disclosing Party) to the other party (the Receiving Party), has commercial value and has not been made public, including but not limited to business plans, marketing strategies, customer lists, financial data, product designs, pricing information, etc.
1.2 "Receiving Party" refers to the party that receives the Confidential Information.
1.3 "Disclosing Party" refers to the party that discloses the Confidential Information.
2. Confidentiality Obligations
2.1 The Receiving Party shall keep the Confidential Information strictly confidential. Without the prior written consent of the Disclosing Party, the Receiving Party shall not disclose, use or allow any third party to use the Confidential Information.
2.2 The Receiving Party shall take reasonable confidentiality measures, at least the same as those taken to protect its own equally important information, to prevent the disclosure, improper use or unauthorized access of the Confidential Information. Such measures include but are not limited to restricting information access rights, using confidentiality agreements to bind personnel who have access to the information, encrypting electronic information, properly storing paper materials, etc.
2.3 The Receiving Party may only use the Confidential Information for the purposes related to the cooperative project, and shall ensure that the personnel who have access to the Confidential Information are limited to employees, consultants or agents who must know such information due to the needs of the cooperative project. The Receiving Party shall urge these personnel to comply with the confidentiality provisions of this Agreement, and may require them to sign similar confidentiality agreements.
3. Confidentiality Period
The confidentiality period of this Agreement shall be X years from the date of the first disclosure of the Confidential Information. After the expiration of the confidentiality period, the Receiving Party shall still be obliged to keep confidential the Confidential Information known during the confidentiality period until such information is legally made public or no longer has the attribute of a business secret.
4. Liability for Breach of Contract
If the Receiving Party violates the confidentiality obligations of this Agreement, it shall pay liquidated damages of XX to the Disclosing Party. If the liquidated damages are not sufficient to compensate for the losses of the Disclosing Party, the Receiving Party shall also compensate the Disclosing Party for all losses suffered as a result, including but not limited to direct losses, indirect losses, loss of expected benefits and reasonable expenses paid for pursuing the liability of the breaching party (such as legal fees, litigation costs, investigation fees, etc.). If the Disclosing Party faces a claim from a third party due to the breach of contract of the Receiving Party, the Receiving Party shall be responsible for resolving it and assume all compensation liability. If the Disclosing Party has made an advance payment, the Receiving Party shall fully reimburse the Disclosing Party.
5. Dispute Resolution
If a dispute arises between the two parties during the performance of this Agreement, the two parties shall first resolve it through friendly negotiation; if the negotiation fails, either party has the right to file a lawsuit with the peoples court having jurisdiction in the place where the contract is signed. The place where this Agreement is signed is XX. During the dispute resolution period, except for the part related to the dispute, the two parties shall continue to perform the other provisions of this Agreement.
6. Other Provisions
6.1 This Agreement shall come into force as of the date of signature (or seal) by both parties. It is made in two copies, with each party holding one copy, and both copies have the same legal effect.
6.2 Any amendment or supplement to this Agreement shall be subject to the written agreement of both parties through negotiation, and a relevant written agreement shall be signed. The amendment or supplement agreement has the same legal effect as this Agreement. In case of any conflict between the amendment or supplement agreement and this Agreement, the amendment or supplement agreement shall prevail.
6.3 If some provisions of this Agreement are determined to be invalid or unenforceable, it shall not affect the validity and enforcement of other provisions. The two parties shall negotiate to modify the invalid or unenforceable provisions to make them comply with the law and be as close as possible to the original intended meaning of the two parties.

1. 定義

2. 保密義務(wù)
2.1 接收方應(yīng)對(duì)保密信息予以嚴(yán)格保密，未經(jīng)披露方書面同意，不得向任何第三方披露、使用或允許第三方使用保密信息。
2.2 接收方應(yīng)采取合理的保密措施，至少與保護(hù)自身同等重要信息所采取的措施相同，以防止保密信息的泄露、不當(dāng)使用或未經(jīng)授權(quán)的獲取。此類措施包括但不限于限制信息訪問(wèn)權(quán)限、使用保密協(xié)議約束接觸信息的人員、對(duì)電子信息進(jìn)行加密處理、妥善保管紙質(zhì)資料等。
2.3 接收方僅可將保密信息用于與合作項(xiàng)目相關(guān)的目的，且應(yīng)確保接觸保密信息的人員僅限于因合作項(xiàng)目需要而必須知曉該信息的員工、顧問(wèn)或代理人。接收方應(yīng)促使這些人員遵守本協(xié)議的.保密條款，可要求其簽署類似的保密協(xié)議。
3. 保密期限
本協(xié)議的保密期限自保密信息首次披露之日起XX年。在保密期限屆滿后，接收方仍應(yīng)對(duì)在保密期限內(nèi)知悉的保密信息繼續(xù)承擔(dān)保密義務(wù)，直至該等信息被合法公開或不再具有商業(yè)秘密屬性。
4. 違約責(zé)任
若接收方違反本協(xié)議的保密義務(wù)，應(yīng)向披露方支付違約金XX，違約金不足以彌補(bǔ)披露方損失的，接收方還應(yīng)賠償披露方因此遭受的全部損失，包括但不限于直接損失、間接損失、可得利益損失以及為追究違約方責(zé)任而支付的合理費(fèi)用（如律師費(fèi)、訴訟費(fèi)、調(diào)查費(fèi)等）。若因接收方的違約行為導(dǎo)致披露方面臨第三方索賠，接收方應(yīng)負(fù)責(zé)解決并承擔(dān)全部賠償責(zé)任，若披露方已先行賠付，接收方應(yīng)向披露方全額償還。
5. 爭(zhēng)議解決
如雙方在本協(xié)議履行過(guò)程中發(fā)生爭(zhēng)議，應(yīng)首先通過(guò)友好協(xié)商解決；協(xié)商不成的，任何一方均有權(quán)向合同簽訂地有管轄權(quán)的人民法院提起訴訟。本協(xié)議簽訂地為XX。在爭(zhēng)議解決期間，除涉及爭(zhēng)議的部分外，雙方應(yīng)繼續(xù)履行本協(xié)議的其他條款。
6. 其他條款
6.1 本協(xié)議自雙方簽字（或蓋章）之日起生效，一式兩份，雙方各執(zhí)一份，具有同等法律效力。
6.2 本協(xié)議的變更或補(bǔ)充需經(jīng)雙方書面協(xié)商一致，并簽署相關(guān)的書面協(xié)議。變更或補(bǔ)充協(xié)議與本協(xié)議具有同等法律效力。如變更或補(bǔ)充協(xié)議與本協(xié)議存在沖突，以變更或補(bǔ)充協(xié)議為準(zhǔn)。
6.3 本協(xié)議的部分條款被認(rèn)定無(wú)效或不具備執(zhí)行力，不影響其他條款的效力和執(zhí)行。雙方應(yīng)協(xié)商修改無(wú)效或不可執(zhí)行的條款，使其符合法律規(guī)定且盡可能接近雙方的原約定意圖。

第一條 保密

Item 2 Confidentiality Content
2.1 不為公眾知悉，能為甲方帶來(lái)經(jīng)濟(jì)利益，具有實(shí)用性并經(jīng)權(quán)利人采取保密措施的技術(shù)信息和經(jīng)營(yíng)信息，包括但不限于：專有技術(shù)及配方、新產(chǎn)品研發(fā)過(guò)程及成果、經(jīng)營(yíng)計(jì)劃及策略、財(cái)務(wù)狀況、客戶資料以及供應(yīng)商資料等。Technical and management information, which was not known by the public, can bring economic benefits to Party A, with practicality, and the right take security measures for, including but not limited to: intellectual property and formulations, new product development process and results, management plans and strategies, financial condition, customer data and vendor information, etc.
2.2 甲方已掌握并負(fù)有保密責(zé)任的第三者（如甲方的客戶或者供應(yīng)商）的技術(shù)信息和經(jīng)營(yíng)信息，包括但不限于：專有技術(shù)及配方、新產(chǎn)品研發(fā)過(guò)程及成果、經(jīng)營(yíng)計(jì)劃及策略、財(cái)務(wù)狀況、客戶資料以及供應(yīng)商資料等等。Party A controls and has a duty of confidentiality to protect third
parties (such as the Party As customers or suppliers) of technical and management information, including but not limited to: intellectual property and formulations, new product development process and results, business plans and strategies, financial condition, customer data and vendor information, and so on.
2.3 甲方以書面或其他形式確定為商業(yè)秘密的資料和信息。Data and information which Party A in writing or otherwise identified as trade secret.
第三條 保密期限
Item 3 Confidentiality Period
3.1 除非甲方通過(guò)書面形式明確本協(xié)議所涉及的某項(xiàng)保密內(nèi)容可以不用保密，則乙方應(yīng)從與甲方建立勞動(dòng)關(guān)系之日起（包括試用期內(nèi)），無(wú)限期保守甲方之商業(yè)秘密。Unless Party A make sure in writing that a certain confidential content covered by this agreement can not be confidential , then Party B should keep the Party A ’s trade secret for ever from the date of labor relations (including probation).
第四條 泄密
Item 4 Leakage of the Trade Secret
4.1 凡未經(jīng)甲方總經(jīng)理或保密委員會(huì)書面授權(quán)而直接或間接以任何形式向任何人或任何組織透露上述、涉及保密內(nèi)容的行為均屬泄密。Without the written authorization of the general manager or security committee of party A, behaviors of directly or indirectly, in any form to any person or organization to disclose the above the content, are related to confidential disclosure.
4.2 當(dāng)甲方將有關(guān)保密內(nèi)容的資料或信息交由乙方保管時(shí)，若因乙方保管不當(dāng)造成該資料或信息的遺失、公開、泄露時(shí)，同樣視為泄密。When Party A ask party B to keep relating to the contents of confidential data or information, if loss, publicity, disclosure caused by improper storage of the data or information, for party B, the same as a leak.
第五條 違約責(zé)任
Item 5 Liability for Breach
5.1 如乙方行為造成泄密的，應(yīng)立即終止泄密行為以及因此而引致的侵犯甲方商業(yè)秘密的行為，積極協(xié)助甲方采取補(bǔ)救措施防止泄密范圍的繼續(xù)擴(kuò)大，并向甲方支付由于違約行為而照成的經(jīng)濟(jì)損失，該損失包括：直接損失、潛在損失以及權(quán)利人為主張權(quán)利而支付的費(fèi)用等。The trade secret leakage caused by the Party B’s behavior, those behavior should be immediately terminated and the acts of infringement on Party A ’s trade secrets should be immediately
terminated; Party B should actively assist the Party A to take remedial measures to prevent the continued expansion of the disclosure, due to the breach, Party B should pay to Party A according to the caused economic losses, the losses include: direct losses, potential losses and the expenses of the allegation.
5.2 若該泄密行為發(fā)生在甲、乙雙方勞動(dòng)合同關(guān)系存續(xù)期間，則乙方除承擔(dān)上述責(zé)任外，甲方還有權(quán)無(wú)條件解除與乙方的勞動(dòng)合同。If the leaks occurred during the term of the labor contract between Party A and Party B, In addition to assumption of these responsibilities by Party B, Party A has the right to unconditionally terminate the labor contract with Party B
第六條 爭(zhēng)議解決
Item 6 Dispute Resolution
6.1 如因本協(xié)議之履行發(fā)生爭(zhēng)議，甲、乙雙方應(yīng)友好協(xié)商解決；協(xié)商不成，由公司所在地人民法院處理。If there is a dispute on implementation of this agreement, Party A and Party B should be settled through friendly consultations; otherwise by the local peoples court in the area of the company, if negotiation fails.
第七條 本協(xié)議一式兩份，甲、乙雙方各執(zhí)一份，每份具同等效力。

第一條 保密資料的定義
Article One Definition of Confidential Information
甲乙雙方中任何一方披露給對(duì)方的明確標(biāo)注或指明是“保密資料”的相關(guān)業(yè)務(wù)和技術(shù)方面的書面或其它形式的資料和信息（簡(jiǎn)稱：保密資料），但不包括下述資料和信息：
Confidential information refers to data and information with respect to relevant businesses and technologies, whether in written or other forms, that have been disclosed by either Party A or Party B to the other party with clear label or designation of "confidential information"（hereinafter referred to as "confidential information"）, excluding the following data and information:
1、已經(jīng)或?qū)⒐加诒姷馁Y料，但不包括甲乙雙方或其代表違反本協(xié)議規(guī)定未經(jīng)授權(quán)所披露的；
1．Information that is already or to be make public available, except those disclosed by either Party A or Party B or their representatives in violation of this agreement and without authorization;
2、在任何一方向接受方披露前已為該方知悉的非保密性資料；
2. Non-confidential information that has come to the attention of the receiving party before the disclosure of the other party;
3、任何一方提供的非保密資料，接受方在披露這些資料前不知此資料提供者（第三方）已經(jīng)與本協(xié)議下的.非保密資料提供方訂立過(guò)有約束力的保密協(xié)議，且接受方有理由認(rèn)為資料披露者未被禁止向接受方提供該資料。
3. Non-confidential information offered by either party, before the disclosure of which the receiving party is not informed of the fact that the provider of this information （a third party） has signed a binding confidentiality agreement with the party disclosing the non-confidential information under this agreement, and the receiving party may reasonably presume that the information discloser is not forbidden to offer the information to the receiving party.
第二條 雙方責(zé)任
Article Two Obligations and Liabilities
?。ㄒ唬┘滓译p方互為保密資料的提供方和接受方，負(fù)有保密義務(wù)，承擔(dān)保密責(zé)任。
（1） Both Party A and Party B represent to the other party as the provider and receiver of confidential information, and thus both undertake confidentiality obligations and liabilities.
（二）甲乙雙方中任何一方未經(jīng)對(duì)方書面同意不得向第三方（包括新聞界人士）公開和披露任何保密資料或以其他方式使用保密資料。雙方也須促使各自代表不向第三方（包括新聞界人士）公開或披露任何保密資料或以其它方式使用保密資料。除非披露、公開或利用保密資料是雙方從事或開展合作項(xiàng)目工作在通常情況下應(yīng)承擔(dān)的義務(wù)（包括雙方今后依法律或合同應(yīng)承擔(dān)的義務(wù)）適當(dāng)所需的。
?。?） Neither Party A nor Party B shall disclose or make public any confidential information to a third party （including the press） or otherwise make use of the confidential information without the written approval of the other party; Both parties are obliged to urge their representatives not to disclose or make public any confidential information to a third party （including the press） or otherwise make use of the confidential information; unless the disclosure, publicity and application of the confidential information is required by the due performance of the obligations of the two parties in association with the undertaking and proceeding of the cooperative programs under normal circumstances （including obligations to be assumed by both parties in the future pursuant to the law and the contracts signed by the two parties）.
?。ㄈ╇p方均須把保密資料的接觸范圍嚴(yán)格限制在因本協(xié)議規(guī)定目的而需接觸保密資料的各自負(fù)責(zé)任的代表的范圍內(nèi)；
?。?） Both parties shall strictly limit the access to the confidential information to their responsible representatives only for the purposes specified hereunder.
（四）除經(jīng)過(guò)雙方書面同意而必要進(jìn)行披露外，任何一方不得將含有對(duì)方或其代表披露的保密資料復(fù)印或復(fù)制或者有意無(wú)意地提供給他人；
?。?） Neither party shall provide a third party with copies or duplicates of the confidential info
rmation disclosed by the other party or its representative, whether intentionally or not, unless the disclosure is allowed by a written agreement signed by the two parties.
?。ㄎ澹┤绻献黜?xiàng)目不再繼續(xù)進(jìn)行或其中一方因故退出此項(xiàng)目，經(jīng)對(duì)方在任何時(shí)候提出書面要求，另一方應(yīng)當(dāng)、并應(yīng)促使其代表在五（5）個(gè)工作日內(nèi)銷毀或向?qū)Ψ椒颠€其占有的或控制的全部保密資料以及包含或體現(xiàn)了保密資料的全部文件和其它材料并連同全部副本。但是在不違反本協(xié)議其它條款的條件下，雙方可僅為本協(xié)議第四條之目的，保留上述文件或材料的復(fù)制件一份；
?。?） In the event that the proceeding of the cooperative program ceases or either party quits the program with reasons, a party shall and shall urge its representatives to destroy or return to the other party all confidential information as well as all documents and materials and all duplicates thereof containing confidential information within five working days, upon the request of the other party at any time. Nevertheless, the party possessing the confidential information may keep one piece of the duplicates of the documents or materials described above only for the purpose enshrined in Article 4 hereunder, without breaching other provisions of this agreement.
?。┘滓译p方將以并應(yīng)促使各自的代表以不低于其對(duì)自己擁有的類似資料的照料程度來(lái)對(duì)待對(duì)方向其披露的保密資料，但在任何情況下，對(duì)保密資料的照料都不能低于合理程度。
?。?） Either Party A or Party B shall and shall urge their respective representatives to treat the confidential information provided by the other party with a degree of care no less than that used for the similar information in its own possession. However, under no circumstances shall the treatment of the confidential information be held under a reasonable degree of care.
第三條 知識(shí)產(chǎn)權(quán)
Article Three Intellectual Property Rights
甲乙雙方向?qū)Ψ交驅(qū)Ψ酱砼侗Ｃ苜Y料并不構(gòu)成向?qū)Ψ交驅(qū)Ψ降拇淼霓D(zhuǎn)讓或授予另一方對(duì)其商業(yè)秘密、商標(biāo)、專利、技術(shù)秘密或任何其它知識(shí)產(chǎn)權(quán)擁有的權(quán)益，也不構(gòu)成向?qū)Ψ交驅(qū)Ψ酱磙D(zhuǎn)讓或向?qū)Ψ交驅(qū)Ψ酱硎谟柙摲绞艿谌皆S可使用的商業(yè)秘密、商標(biāo)、專利、技術(shù)秘密或任何其他知識(shí)產(chǎn)權(quán)的有關(guān)權(quán)益。
Disclosure of the confidential information by either Party A or Party B to the other party or its representatives shall not be construed to constitute an assignment or grant to the other party or its representatives of the rights and interests in relation to its trade secrets, trademarks, patents, know-how or any other intellectual property, nor shall it constitute an assignment or grant to the other party or its representatives the rights and interests in relation to the trade secrets, trademarks, patents, know-how, or any other intellectual property authorized by a third party.
第四條 保密資料的保存和使用
Article Four Preservation and Application of the Confidential Information
（一）甲乙雙方中的任何一方有權(quán)保存必要的保密資料，以便在履行其在合作項(xiàng)目工作中所承擔(dān)的法律、規(guī)章與義務(wù)時(shí)使用該等保密資料。
?。?） Either Party A or Party B has the right to preserve necessary confidential information, so as to make use of which in implementing binding laws, regulations, and obligations under their cooperative programs.
?。ǘ┘滓译p方有權(quán)使用保密資料對(duì)任何針對(duì)接受方或其代表的與本協(xié)議項(xiàng)目及其事務(wù)相關(guān)的索賠、訴訟、司法程序及指控進(jìn)行抗辯，或者對(duì)與本協(xié)議項(xiàng)目及其事務(wù)相關(guān)的傳喚、傳票或其他法律程序做出答復(fù)。
?。?） Either Party A or Party B has the right to make use of the confidential information to defend against any claims, lawsuits, judicial proceedings, and accusations towards the receiving party or its representatives in relation to the programs hereunder and relevant affairs, or to respond to summons, subpoena, or other legal proceedings with respect to the programs hereunder and relevant affairs.
（三）任何一方在書面通知對(duì)方并將披露的復(fù)印件抄送對(duì)方后，可根據(jù)需要在提交任何市、省、中央或其他對(duì)接受方有管轄權(quán)或聲稱對(duì)接受方有管轄權(quán)的監(jiān)管團(tuán)體的任何報(bào)告、聲明或證明中披露保密資料。
（3） Either party can, in light of actual demand, disclose the confidential information in any reports, statements or certificates submitted to any regulatory organs at municipal, provincial, central, or other levels that have jurisdiction or assert having jurisdiction over the receiving party, after informing the other party in written form and making a copy for the other party of the disclosed information.
第五條 爭(zhēng)議解決和適用法律
Article Five Dispute Settlement and Governing Laws
本協(xié)議受中華人民共和國(guó)法律管轄并按中華人民共和國(guó)法律解釋。對(duì)因本協(xié)議或本協(xié)議各方的權(quán)利和義務(wù)而發(fā)生的或與之有關(guān)的任何事項(xiàng)和爭(zhēng)議、訴訟或程序，本協(xié)議雙方不可撤銷地接受中華人民共和國(guó)法院的管轄。

Whereas Party A and Party B intend to cooperate on the XX, and in order to protect the business secrets disclosed by both parties during the cooperation process, through friendly negotiation, the following confidentiality agreement is reached:
1. Definitions
1.1 "Confidential Information" refers to information related to the cooperative project, which is disclosed by one party (the Disclosing Party) to the other party (the Receiving Party), has commercial value and has not been made public, including but not limited to business plans, customer lists, financial data, technical materials, etc.
1.2 "Receiving Party" refers to the party that receives the Confidential Information.
1.3 "Disclosing Party" refers to the party that discloses the Confidential Information.
2. Confidentiality Obligations
2.1 The Receiving Party shall keep the Confidential Information strictly confidential. Without the prior written consent of the Disclosing Party, the Receiving Party shall not disclose, use or allow any third party to use the Confidential Information.
2.2 The Receiving Party shall take reasonable confidentiality measures, at least the same as those taken to protect its own equally important information, to prevent the disclosure, improper use or unauthorized access of the Confidential Information.
2.3 The Receiving Party may only use the Confidential Information for the purposes related to the cooperative project, and shall limit the scope of personnel who have access to the Confidential Information. The Receiving Party shall only disclose the Confidential Information to employees who have a need to know such information, and ensure that these employees comply with the confidentiality provisions of this Agreement.
3. Confidentiality Period
The confidentiality period of this Agreement shall be X years from the date of disclosure of the Confidential Information.
4. Liability for Breach of Contract
If the Receiving Party breaches the confidentiality obligations of this Agreement, it shall pay liquidated damages of XX to the Disclosing Party, and compensate the Disclosing Party for all losses suffered as a result of the breach, including but not limited to direct losses, indirect losses, loss of expected benefits and reasonable expenses paid for pursuing the liability of the breaching party (such as legal fees, litigation costs, etc.).
5. Dispute Resolution
If a dispute arises between the two parties during the performance of this Agreement, the two parties shall first resolve it through friendly negotiation; if the negotiation fails, either party has the right to file a lawsuit with the peoples court having jurisdiction.
6. Other Provisions
6.1 This Agreement shall come into force as of the date of signature (or seal) by both parties. It is made in two copies, with each party holding one copy, and both copies have the same legal effect.
6.2 Any amendment or supplement to this Agreement shall be subject to the written agreement of both parties through negotiation, and a relevant written agreement shall be signed.

鑒于甲乙雙方擬進(jìn)行xx合作，為保護(hù)雙方在合作過(guò)程中披露的商業(yè)秘密，經(jīng)友好協(xié)商，達(dá)成如下保密協(xié)議：
1. 定義
1.1 “保密信息”指一方（披露方）向另一方（接收方）披露的，與合作項(xiàng)目相關(guān)的，具有商業(yè)價(jià)值且尚未公開的信息，包括但不限于商業(yè)計(jì)劃、客戶名單、財(cái)務(wù)數(shù)據(jù)、技術(shù)資料等。
1.2 “接收方”指接收保密信息的'一方。
1.3 “披露方”指披露保密信息的一方。
2. 保密義務(wù)
2.1 接收方應(yīng)對(duì)保密信息嚴(yán)格保密，未經(jīng)披露方書面同意，不得向任何第三方披露、使用或允許第三方使用保密信息。
2.2 接收方應(yīng)采取合理的保密措施，至少與保護(hù)自身同等重要信息所采取的措施相同，以防止保密信息的泄露、不當(dāng)使用或未經(jīng)授權(quán)的獲取。
2.3 接收方僅可將保密信息用于與合作項(xiàng)目相關(guān)的目的，且應(yīng)限制接觸保密信息的人員范圍，僅向有必要知曉該信息的員工披露，并確保這些員工遵守本協(xié)議的保密條款。
3. 保密期限
本協(xié)議的保密期限自保密信息披露之日起X年。
4. 違約責(zé)任
若接收方違反本協(xié)議的保密義務(wù)，應(yīng)向披露方支付違約金XX，并賠償披露方因違約行為所遭受的全部損失，包括但不限于直接損失、間接損失、可得利益損失以及為追究違約方責(zé)任而支付的合理費(fèi)用（如律師費(fèi)、訴訟費(fèi)等）。
5. 爭(zhēng)議解決
如雙方在本協(xié)議履行過(guò)程中發(fā)生爭(zhēng)議，應(yīng)首先通過(guò)友好協(xié)商解決；協(xié)商不成的，任何一方均有權(quán)向有管轄權(quán)的人民法院提起訴訟。
6. 其他條款
6.1 本協(xié)議自雙方簽字（或蓋章）之日起生效，一式兩份，雙方各執(zhí)一份，具有同等法律效力。
6.2 本協(xié)議的變更或補(bǔ)充需經(jīng)雙方書面協(xié)商一致，并簽署相關(guān)的書面協(xié)議。

為保護(hù)雙方的商業(yè)秘密，本著公平合理、平等互利的原則，雙方經(jīng)友好協(xié)商達(dá)成如下保密協(xié)議：
To protect commercial secretes of Party A and Party B hereof，following the principle of fairness, equity and mutual benefit, the two parties involved hereby reach this non-disclosure agreement:
1、甲方提供給乙方的任何資料均屬于甲方的商業(yè)秘密，乙方負(fù)有保密義務(wù)。乙方負(fù)有保密義務(wù)的甲方商業(yè)秘密的范圍包括但不僅限于如下陳述對(duì)象：
All the information provided by Party A to Party B are in the scope of commercial secrets, and Party B has the obligation to keep them confidential. The scope of commercial secrets of Party A that Party B has the obligations to keep confidential includes but is not limited to the followings:
1.1模具合同（包含品種，規(guī)格，數(shù)量、價(jià)格因素，交期等信息）、模具檢驗(yàn)標(biāo)準(zhǔn)及產(chǎn)品檢驗(yàn)標(biāo)準(zhǔn)；
mold contract (including variety, specification, quantity and price factor, delivery date, etc.), mold inspection standard and product inspection standard;
1.2與產(chǎn)品零件有關(guān)的任何資料、參數(shù)、圖紙、夾具、工裝等；
All information, parameters, drawings, fixtures and tools concerning parts of the product;
1.3涉及甲方產(chǎn)品的外觀、功能等方面的模型、樣機(jī)；
models and samples of products concerning appearance and function of Party A;
1.4任何標(biāo)明具有“OPPO”或者等效標(biāo)識(shí)的產(chǎn)品，包括IC卡，LCD顯示屏，包裝材料如彩盒、說(shuō)明書、手提袋、廣告制品、外殼等；
Any product marked with “OPPO” or equivalent signs including IC card, LCD display, packing material such as color dispenser, product manual, handbag, advertising product and casing;
1.5甲方提供的模具技術(shù)、模具專利、產(chǎn)品專利、開發(fā)的系統(tǒng)流程；
mold technology, mold patent, product patent and system flow of development provided by Party A;
1.6在乙方正在生產(chǎn)的甲方的模具狀況、生產(chǎn)機(jī)型、訂單明細(xì)（包括顏色、數(shù)量、交期等）等細(xì)節(jié)；
Information of mold produced by Party B, product model, detailed information of purchase order (including color, quantity and date of delivery) of Party A, etc.;
1.7甲方未上市機(jī)型的外形、造型、配色、試模樣品（包括試模的素材、涂裝樣品）等原始技術(shù)資料、實(shí)物；
Original technical data and actual product of Party A concerning appearance, industrial design, color matching, trial product of mold (including elements of trial mold and sample of coating) of the model that have not entered market yet;
1.8其他甲方擁有知識(shí)產(chǎn)權(quán)結(jié)構(gòu)設(shè)計(jì)方案及帶有甲方專屬LOGO的資料、實(shí)物。
Other structure design schemes to which Party A owns intellectual property rights, and information and actual product with exclusive LOGO of Party A;
2、對(duì)甲方上述商業(yè)秘密，乙方承擔(dān)以下保密義務(wù)：
Party B has the following obligations to keep the abovementioned commercial secretes of Party A confidential:
2.1主動(dòng)采取加密措施對(duì)上述所列及之商業(yè)秘密進(jìn)行保護(hù)，防止任何第三者知悉及使用；
Take active measures to protect the abovementioned commercial secretes in case they are learnt or used by a third party;
2.2保證接觸甲方商業(yè)秘密的員工不泄露知悉的甲方商業(yè)秘密，保證非接觸甲方商業(yè)秘密的員工不得刺探 或者以其他不正當(dāng)手段（包括利用計(jì)算機(jī)進(jìn)行檢索、瀏覽、復(fù)制等）獲取甲方的商業(yè)秘密；
Ensure that all the employees of Party B to whom disclosure of commercial secrets of Party A is to be made will not have the commercial secrets disclosed, and ensure that all the employees of Party B for whom the commercial secrets of Party A are inaccessible shall not detect or obtain in illegal method (including but not limited to searching, browsing and copying on computer);
2.3不得向任何第三者披露甲方的商業(yè)秘密；
Do not disclose the commercial secretes of Party A to a third party;
2.4乙方除為履行義務(wù)且經(jīng)甲方事先同意外，均不得為自己或他人之利益直接或間接使用上述機(jī)密資料及 知識(shí)產(chǎn)權(quán)；
Unless for performing obligations specified in the agreement and with prior consent from Party A, Party B shall not directly or indirectly use the abovementioned confidential information and intellectual property rights for benefits of Party B or anyone else;
2.5不得允許（包括出借、贈(zèng)予、出租、轉(zhuǎn)讓等行為）或協(xié)助任何第三方使用甲方的商業(yè)秘密；
Do not permit (including lending, presenting, releasing, transferring, etc.) or assist a third party in using the commercial secrets of Party A;
2.6乙方了解甲方設(shè)有專門的對(duì)外發(fā)言及訊息披露制度，也承諾嚴(yán)格遵守該發(fā)言及訊息披露制度；
Party B acknowledges that Party A has set up special system of public statement and information disclosure, and promises to strictly abide by this system;
2.7不論因何種原因終止與甲方合作后，都不得利用甲方的商業(yè)秘密為其他與甲方有競(jìng)爭(zhēng)關(guān)系的企業(yè)（包 括自辦企業(yè)）服務(wù)；
In case of termination of cooperation with Party A due to any reason, Party B shall not use the commercial secretes of Party A to provide service to the enterprise in competition with Party A (including self-invested enterprises);
2.8乙方所占有、使用、監(jiān)督或管理的與甲方知識(shí)產(chǎn)權(quán)有關(guān)的資料、機(jī)密資料均為甲方財(cái)產(chǎn)，應(yīng)于合作結(jié) 束時(shí)悉數(shù)交還甲方，未經(jīng)許可不得自行復(fù)制、傳真、利用網(wǎng)絡(luò)對(duì)外傳送等。
All the related information and all the confidential information concerning intellectual property rights of Party A possessed, used, supervised or controlled by Party B, are under ownership of Party A, and shall all be returned to Party A at termination of cooperation. All the information are prohibited to be copied, faxed and transmitted through network in case of no authorization;
2.9乙方同意甲方商業(yè)秘密之界定范圍，無(wú)論故意或過(guò)失、無(wú)論以任何形式泄露甲方商業(yè)秘密均屬違法行 為，甲方有權(quán)視違法情節(jié)和危害程度，采取向警方報(bào)案、采取強(qiáng)制措施、追究刑事責(zé)任等非常手段。
Party B agrees on the scope of commercial secretes specified by Party A. Disclosure of the commercial secretes of Party A in any form purposely or by fault is illegal. Party A has the right to report to the police, take compulsory measures and claim for criminal responsibility based on illegal condition and harm extent.
2.10乙方如發(fā)現(xiàn)甲方的商業(yè)秘密被泄露或者自己過(guò)失泄露秘密，應(yīng)當(dāng)采取有效措施防止泄密進(jìn)一步擴(kuò)大，并及時(shí)向甲方報(bào)告。
When Party B finds that the commercial secretes of Party A are disclosed or divulged for fault of Party B, Party B shall take effective measures to stop further disclosure and timely report to Party A;
2.11本協(xié)議規(guī)定的商業(yè)秘密所有權(quán)始終全部歸屬甲方，乙方不得利用自身對(duì)屬于甲方商業(yè)秘密資料的不同程度的了解申請(qǐng)知識(shí)產(chǎn)權(quán)，在本協(xié)議簽訂前乙方已依法具有某些所有權(quán)者除外。
All the commercial secretes specified in this agreement are under the ownership of Party A, and Party B shall not apply for intellectual property rights by making use of learning about the commercial secretes of Party A it has learnt to any extent, those legally owned by Party B before signing this agreement excluded.
3、甲方保密義務(wù)： Non-disclosure obligations of Party A:
對(duì)于乙方提供甲方的樣品、DEmO板，測(cè)試檢驗(yàn)工裝/軟件、圖紙、規(guī)格書等，甲方亦有責(zé)任根據(jù)乙方的要求，對(duì)等地遵守保密協(xié)議。
Based on requirements of Party B on the sample, DEmO panel, test and inspection tool/software, drawing, specification etc. provided by Party B to Party A, Party A accordingly has the obligation to keep them confidential as per this non-disclosure agreement.
4、保密期限 Term of non-disclosure
甲、乙雙方確認(rèn)，乙方的保密義務(wù)自本協(xié)議簽訂時(shí)開始，直至甲方主動(dòng)公開該保密信息時(shí)止。乙方是否繼續(xù)與甲方合作，不影響保密義務(wù)的履行。
Party A and Party B hereof confirm that non-disclosure obligations of Party B come into force on signing of this agreement till the confidential information is voluntarily disclosed by Party A. Whether Party B will continue further cooperation with Party A or not will not affect the performance of non-disclosure obligations by Party B;
5、違約責(zé)任 Responsibility for breach of contract
5.1如乙方未履行本協(xié)議規(guī)定的保密義務(wù)，乙方需支付人民幣伍拾萬(wàn)元的'違約金，違約金不足以彌補(bǔ)甲方損失的，甲方有權(quán)要求乙方賠償損失。
Provided Party B fails to perform non-disclosure obligations stipulated in this agreement, Party B shall pay RmB500, 000 as compensation for breach of contract. In case that the compensation for breach of contract is not sufficient to compensate for the losses of Party A, Party A has the right to claim against Party B for the insufficiency.
5.2乙方違反保密協(xié)議，甲方有權(quán)采取包括扣款、停止支付貨款、取消供應(yīng)商資格、依法追究所有損失等一切合法行動(dòng)維護(hù)甲方的所有權(quán)益。
If Party B violates this non-disclosure agreement, Party A has the right to take all legal actions including deducting payment, suspending payment, cancelling supplier qualification, legally claiming for all the losses etc. to defend all the rights and interests of Party A.
6、特別條款 Special Provisions
6.1對(duì)于甲方專用物料（如塑膠外殼，五金外殼，按鍵，鏡片，電池，觸摸屏，耳機(jī)，充電器，數(shù)據(jù)線、彩盒、說(shuō)明書、手提袋、廣告制品等，），乙方應(yīng)妥善管理，不得以任何形式外流至假貨市場(chǎng)或其它損害甲方利益的場(chǎng)所。如查證物料確實(shí)從乙方處外流，乙方應(yīng)向甲方支付每次伍拾萬(wàn)圓人民幣的違約金；情節(jié)嚴(yán)重者，甲方有權(quán)利不予支付乙方未付貨款并取消乙方的供應(yīng)商資格，同時(shí)追究乙方法律責(zé)任。
Party B shall properly keep the special materials of Party A (e.g. plastic casing, hardware casing, key, lens, battery, touch screen, earphone, charger, data cable, color dispenser, product manual, handbag and advertising product), and shall not have them flow into false product market or other places harmful to Party A. If it is verified that materials have flown out from Party B, Party B shall pay Party A RmB500,000 for each outflow as compensation for breach of contract; in case of serious outflow, Party A has the right to make no payment for the paid balance of Party B and cancel the qualification of Party B as a supplier, and Party B shall be investigated for legal responsibility.
6.2 對(duì)于上述甲方專用物料，乙方不得以何形式提供給其他個(gè)人（甲方樣品階段乙方提供給甲方工程師簽樣除外）。如甲方查證物料確實(shí)從乙方流出，乙方應(yīng)向甲方支付每次伍萬(wàn)圓人民幣的違約金，情節(jié)嚴(yán)重者，甲方有權(quán)利取消乙方的供應(yīng)商資格。
Party B shall not provide the abovementioned special materials of Party A to any individuals in any form (At sample phase of Party A, the sample provided by Party B to engineer of Party A for approval is excluded.). If the materials are proven to be outflow from Party B, Party B shall pay Party A RmB50, 000 for each outflow as compensation for breach of contract; in case of serious outflow, Party A has the right to cancel the qualification of Party B as a supplier.
7、一般條款 General Provisions
7.1本協(xié)議若有版本升級(jí)，則新版本協(xié)議簽訂后舊版本自動(dòng)解除。
In case of any agreement upgrade, the old version of agreement shall be automatically terminated as long as the new version of agreement is signed.
7.2本協(xié)議一式兩份，甲乙雙方各執(zhí)一份，自雙方簽章后生效。
This agreement is made in duplicate. Party A and Party B shall hold one original each. The agreement will come into force at signature and seal of both parties.
7.3本協(xié)議之解釋、效力、履行及其他未盡事宜均依中華人民共和國(guó)法律為準(zhǔn)，任何關(guān)于本協(xié)議產(chǎn)生的爭(zhēng)議，由雙方協(xié)商解決，協(xié)商不成的，雙方同意任何一方均向甲方所在地人民法院起訴。
This agreement is construed in accordance with, enforced pursuant to and governed by laws of the People’s Republic of China. Any dispute arising from this agreement shall be settled through consultations. In case no agreement reached by the two parties, the case in dispute shall then be submitted to the local people’s court in the location of Party A.
